Official Rules 5/24/10 - 9/2/10 NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED OR RESTRICTED. SPONSOR: The Royal Pains "Endless Summer" Sweepstakes (the "Sweepstakes") is sponsored by Universal Television Networks ("UTN" or "Sponsor"), 30 Rockefeller Plaza, New York, New York 10112. SWEEPSTAKES PERIOD: The Sweepstakes begins at 9:00 am ET on May 24, 2010 and ends at 11:59 pm ET on September 2, 2010 (the "Sweepstakes Period"). All times in the Sweepstakes refer to Eastern Time ("ET"). ELIGIBILITY: Open only to permanent, legal U.S. residents physically residing in the fifty (50) United States or the District of Columbia (excluding Puerto Rico, Guam, US Virgin Islands and all other US territories) who are eighteen (18) years of age or older and have reached the age of majority in their state of residence at the time of entry. Officers, directors, agents, and employees of Sweepstakes Entities and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and their immediate family members (parent, child, spouse, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible to participate in or win the Sweepstakes. Sweepstakes Entities, as referenced herein, shall include Sponsor, NBC Universal, Inc., Lacoste and each of their respective parent, subsidiary, and affiliate companies, and administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Sweepstakes. Void where prohibited by law. All applicable federal, state and local laws apply. HOW TO ENTER: The Sweepstakes consists of twelve (12) weekly drawings (each a "Weekly Drawing") and one (1) grand prize drawing ("Grand Prize Drawing") conducted over twelve (12) weeks comprising the Sweepstakes Period. Each Weekly Drawing will consist of: (i) a promotion period (a "Weekly Entry Period") that will begin at 9:00am ET on each weekday comprising the Sweepstakes Period (each a "Weekly Period Start Date") and will end at 11:59pm ET (each a "Weekly Period End Date") as detailed in the chart below and (ii) a random drawing (a "Weekly Prize Drawing") conducted on the weekly drawing date ("Weekly Drawing Date") specified in the chart below from among all eligible entries received during such Weekly Entry Period. One (1) weekly winner ("Weekly Winner") will be selected in each of the twelve (12) Weekly Prize Drawings and one (1) grand prize winner ("Grand Prize Winner") will be selected from all eligible entries received from the twelve (12) previous Weekly Entry Periods for a total of twelve (12) Weekly Winners and one (1) Grand Prize Winner throughout the entire Sweepstakes Period. Entries for each Weekly Drawing must be received by the Weekly Entry Period End Date for that particular Weekly Drawing as specified in the chart below. Entries for the last Weekly Drawing (Weekly Drawing 12) must be received by 11:59pm ET on September 2, 2010. There are two ways to enter this Sweepstakes: 1. Online Entry: Log on to http://royalpains.usanetwork.com (the "Website") and click on the Sweepstakes logo. Follow the instructions on how to enter (including completing the official entry form, with your name, address, telephone number, email address and date of birth in its entirety). 2. In-Store Entry: Visit any Lacoste Boutique at one of the sixty six (66) store locations in the 50 (fifty) United States or DC during store hours, and go to the check-out counter between May 24, 2010 and June 20, 2010. Fill-out an official entry form, with your name, address, telephone number, email address and date of birth in its entirety. All participants who successfully complete this entry process will be entered into the Sweepstakes. All entries become the property of Sponsor and will not be acknowledged. LIMIT ONE (1) ENTRY PER PERSON PER DAY DURING THE SWEEPSTAKES PERIOD REGARDLESS OF METHOD OF ENTRY. Multiple entries received from any person or email address beyond this limit will void all such additional entries. Entries generated by a script, macro, or other automated means are void. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply. Entry constitutes permission (except where prohibited by law) to use entrant's name, city, state, likeness, image, and/or voice in any and all media now or hereafter known throughout the world in perpetuity for purposes of advertising, promotion, and publicity without additional notification, permission, approval or compensation. In case of a dispute over the identity of an entrant, the authorized account holder of the email address used to enter will be deemed to be the entrant. "Authorized account holder" is defined as the person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address.
RANDOM DRAWING/WINNER NOTIFICATION: Twelve (12) potential Weekly Winners and one (1) potential Grand Prize Winner (collectively referred to herein as "Winners") will be selected in random drawings. The Weekly Winners will be selected on or about the Weekly Drawing Date for that particular Weekly Drawing as specified in the chart above from among all eligible entries received during that Weekly Entry Period by employees or representatives of Sponsor, whose decisions are final and binding with respect to all matters related to the Sweepstakes. The Grand Prize Winner will be selected on or about September 6, 2010, from all eligible entries submitted in the twelve (12) Weekly Entry Periods as specified in the chart above. Odds of winning depend on the total number of entries received. Sponsor will make two (2) attempts to contact the potential winners at the phone number and/or e-mail address provided at time of entry. If Sponsor is unable to reach a potential winner via phone or email after two (2) attempts, he/she may be disqualified and an alternate potential winner may be selected in a random drawing from among the remaining eligible entries at Sponsor's sole discretion. Potential winners will be required to complete, sign, have notarized and return an Affidavit of Eligibility and Liability Release ("Affidavit and Release") and Publicity Release (where legal) within three (3) days of date of attempted delivery. Noncompliance within this time period, with these Official Rules or the return of or inability to deliver any prize/prize notification/prize correspondence may result in disqualification and, at Sponsor's discretion, and time permitting, an alternate potential winner may be selected in a random drawing from among the remaining eligible entries at Sponsor's sole discretion. PRIZES: There will be twelve (12) Weekly Prizes awarded and one (1) Grand Prize (collectively referred to herein as "Prizes"). Weekly Prizes: There will be twelve (12) weekly prizes ("Weekly Prize") awarded, one (1) to each Weekly Winner. Weekly Prize will consist of: a one thousand dollar ($1,000) shopping spree to Lacoste (awarded as a gift card or in such other form as designated by Sponsor in its sole discretion). The Approximate Retail Value ("ARV") of each Weekly Prize is one thousand dollars ($1000). Total ARV for all Weekly Prizes is twelve thousand dollars ($12,000). Grand Prize: There will be one (1) grand prize ("Grand Prize") awarded, consisting of a seven (7) night/ eight (8) day trip for Grand Prize Winner and three (3) guests ("Guests") to the Hamptons (the "Trip"). The Trip will consist of the following, each awarded as determined by Sponsor in its sole discretion: 1) Round-trip, commercial coach-class air transportation for winner and three (3) Guests from an airport near Grand Prize Winner's residence to an airport near or in the Hamptons; 2) 8 day stay in luxurious Hamptons rental complete with your own private pool; 3) a one thousand dollar ($1,000) shopping spree to Lacoste (awarded as a gift card or in such other form as designated by Sponsor in its sole discretion); 4) eight (8) day car rental near or in the Hamptons; 5) three (3) Hamptons-esque activities such as One (1) hour tennis lesson with a Pro, All day sailboat rental with a Captain, and four (4) cooking classes with private chef (to be determined by Sponsor in its sole discretion), and; 6) breakfast and dinner daily (dinner and breakfasts not to exceed amounts determined by Sponsor in its sole discretion). All details of the above Trip are subject to change and shall be determined by Sponsor in its sole discretion. The Approximate Retail Value ("ARV") of the Trip is Eighteen thousand nine hundred thirty dollars ($18,930). Actual retail value of Grand Prize varies depending on the point of departure, point of arrival, fare fluctuation for the Trip and fluctuations in cost for itinerary items. Any differences between stated ARV and actual ARV will not be awarded. Total ARV for all Prizes is Thirty-two thousand nine hundred thirty dollars ($32,930). All details of Prize will be determined by Sponsor in its sole discretion. Each Prize will be awarded "as is" with no warranty or guarantee, either express or implied by Sponsor. Gift cards are subject to all limitations, restrictions, terms and conditions imposed by the applicable issuer. Sponsor reserves the right to substitute a similar Prize (or Prize element) of comparable or greater value at their sole discretion. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of Prize are the sole responsibility of Winner. Prize cannot be transferred by Winner or redeemed for cash and is valid only for the items detailed above, with no substitution of Prize by Winners. If Prize is unclaimed within a reasonable time after notification from Sponsor, as determined by Sponsor in its sole discretion, it will be forfeited, and time permitting, an alternate Winner may be selected from the remaining eligible Entries at Sponsor's sole discretion. Sponsor will furnish an Internal Revenue Service Form 1099 to Winner for the ARV of Prize for the tax year in which Prize was won. The value of Prize represents Sponsor's good faith determination of the maximum retail value thereof. For Form 1099 reporting purposes, Winner shall be bound by such good faith determination. If Grand Prize Winner elects to partake in any or all portions of his/her Prize with fewer than three (3) Guests or no Guest, the remaining elements of Prize shall be awarded to Grand Prize Winner and each participating Guest and shall constitute full satisfaction of Sponsor's Prize obligation to Grand Prize Winner and no additional compensation will be awarded. All elements of the Prize must be redeemed at the same time, and no changes will be permitted after confirmation of any redemption. Specific travel dates and arrangements are subject to air travel, holiday, blackout dates, and other prize and travel restrictions. Trip must be completed within one (1) year of notification or Prize will be forfeited. Reservations are subject to availability. Trip must be booked at least sixty (60) days prior to intended departure date. Travel dates are subject to Sponsor approval. Travel and hotel arrangements will be determined by Sponsor in its sole discretion. Once determined, no change, extension, or substitution of travel dates and/or times is permitted, except by Sponsor in its sole discretion. Grand Prize Winner and Guest(s) must travel together on the same itinerary. Tickets are not valid for business-related or group travel. Tickets are valid only for travel on airline chosen by Sponsor in its sole discretion. A Saturday night stay-over may be required. Tickets will be issued only to Grand Prize Winner and Guest(s). Tickets are void if sold for cash or other consideration. Grand Prize Winner is responsible for any tax liability (including applicable departure taxes or fees, including baggage fees), inspection charges, and security charges. Once issued, tickets are non-transferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Grand Prize Winner and Guest(s) must have valid travel documents (e.g., valid, government-issued photo identification and/or passport) prior to departure. Failure to do so will result in forfeiture of Prize. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsor's control, and is not responsible or liable for any expenses incurred as a consequence thereof. Travel may not be combined with any other offer and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of Grand Prize Winner and Guest(s). Sponsor will not replace any lost or stolen tickets, vouchers, or certificates. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor and Prize Provider reserve the right to reschedule all travel for a later date. Guest(s), if any, may be required to execute and return a release of liability and, except where prohibited, a publicity release (collectively, "Guest Documents"), which must be returned with the Affidavit and Release, or Guest portion of Prize will be forfeited. If Guest is a minor, Grand Prize Winner must be such minor's parent or legal guardian and must execute and return the Guest Documents on such minor's behalf. Tickets are non-refundable. Prize consists only of the elements expressly set forth above; no other elements or expenses (including, without limitation, insurance, meals, unspecified ground transportation, phone calls, gratuities, incidentals, souvenirs, gasoline, etc.) are included in the Prize and all such expenses are the sole responsibility of Grand Prize Winner. Grand Prize Winner is responsible for any and all fees assessed at the time of ticketing, including, but not limited to, air travel taxes and/or expenses, applicable departure taxes or fees, inspection charges, and security charges. All Prize elements must be redeemed at the same time. CONDITIONS: By entering the Sweepstakes, each entrant agrees for entrant and for entrant's heirs, executors, and administrators (a) to release and hold harmless Sweepstakes Entities and their respective officers, directors, and employees (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant's participation in the or Sweepstakes and/or his/her acceptance, possession, use, or misuse of Prize or any portion thereof (including any travel related thereto); (b) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prizes, including express warranties provided exclusively by Prize supplier that are sent along with Prizes; (c) if selected as a Winner, to the posting of such entrant's name on the Website and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Sweepstakes itself, and to be bound by all decisions of the Sponsor, which are binding and final. Failure to comply with these conditions may result in disqualification from the Sweepstakes at Sponsor's sole discretion. ADDITIONAL TERMS: Sponsor reserve the right to permanently disqualify from any promotion any person it believes has intentionally violated these Official Rules. Any attempt to deliberately damage the Sweepstakes or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other "force majeure" event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants' or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with the Sweepstakes. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserves the right to select Winners in a random drawing from among all eligible, non-suspect Entries received prior to the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted on the Website. Sponsor may prohibit any entrant or potential entrant from participating in the Sweepstakes, if such entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, or Sponsor's agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Sponsor reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes. DISPUTES: THE SWEEPSTAKES IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. WINNERS' NAMES: For the names of the Winners, available after September 15, 2010, please send a postage paid envelope to USA Network, Attn: The Royal Pains "Endless Summer" Sweepstakes, Attn: Juli McLaurin, 30 Rockefeller Plaza, 21st Floor, New York, NY 10112, to be received by October 1, 2010. NO WARRANTIES: Sponsor makes no warranties covering the Prizes furnished as part of this Sweepstakes. PRIVACY: Information supplied by entrants will be shared by Sponsor in accordance with its privacy policy, posted at http://www.usanetwork.com/privacy/. Each Winners' name and contact information will also be shared by Sponsor in order to contact such winner for the purpose of fulfillment of Prizes. Entrants will have the opportunity to receive information from Sponsor and selected partners by checking the appropriate box(es).
