ENTRY: You will receive one automatic entry into the Sweepstakes when you register at nashvillestar.usanetwork.com during the Promotion Period.

ELIGIBILITY: Open to legal residents of the 50 United States and the District of Columbia (Puerto Rico and Guam are excluded) who are 18 years of age or older as of 3/26/06. Employees (and their immediate families [spouse, children, siblings and/or parents] or persons who reside in the same household) of USA Network, Nashville Star, Greg Hill Management, the RCA Label Group and their respective parent companies; subsidiaries, affiliates, advertising and promotional agencies, are not eligible (“sponsors”). Void where prohibited or restricted by law.

PRIZES: Two (2) Grand Prizes. The trip will consist of a trip for two (2) people, round trip, coach class, air transportation to and from a major airport and Nassau, Bahamas four (4) days, three (3) nights (one standard room double occupancy) accommodations at the Atlantis Resort for the nights of 6/12/06, 6/13/06 and 6/14/06, an autographed Phil Vassar CD, a special concert by Phil Vassar and the Nashville Star Season 4 winner. Transfers to and from the Atlantis Resort and the Nassau airport. Approximate retail value $1,500 per trip. Travel will be arranged by the RCA Label Group whose decisions regarding the trip itinerary are final. Certain other travel restrictions and blackout dates will apply. Winner and guest must have a valid passport for travel. Grand Prize Winner’s travel guests must be the age of majority in his or her state of residency or Winner must be guest’s parent or legal guardian. If travel companion is a minor in his/her state of residence, minor’s parent/legal guardian must complete and return all releases on behalf of minor. In the event that the concert is cancelled, or the tickets are unavailable for any reason, the remaining elements of the Grand Prize shall constitute full satisfaction of the prize obligation to Winner and no additional compensation will be awarded. The Grand Prize must be accepted and enjoyed by Winner’s from June 12-14, 2006. Actual trip value may vary depending upon the point of departure. Grand Prize Winner must take trip on the specified dates or trip will be forfeited and an alternate Winner will be randomly selected. Prizes may not be substituted, transferred or exchanged, except at the sole discretion of the Sponsor. Should a prize not be available, for any reason, the Sponsor reserves the right to substitute a prize of equal or greater value or a cash payment equal to the approximate retail value of the prize. Taxes on any and all of the prizes and any other expenses related to the acceptance and use of any prize (which are not expressly stated herein as being the responsibility of Sponsor), are the sole responsibility of the respective Winner.

WINNER SELECTION: Two (2) Winners will be randomly selected by USA Network, an independent judging organization, on or about 5/10/06 from all eligible entries received. All decisions regarding the rules and conduct of this Sweepstakes will be made by Sponsor whose decisions shall be final and binding. Winners will be notified by telephone, mail or email within five (5) days after Winner is selected. If Winner cannot be reached within this timeframe, Sponsor has the right, in their sole discretion, to award the prize to an alternative winner. Odds of winning depend upon the number of eligible entries received. Grand Prize Winners will be required to sign/return an Affidavit of Eligibility and Liability Release, and except where prohibited, a Publicity Release within 3 days of receipt or prize will be forfeited and awarded to an alternate winner. An overnight return envelope will be provided as well as a return fax number. Each Grand Prize Winner’s travel companion will be required to sign a Liability Release and, except where prohibited, a Publicity Release prior to the issuance of travel documents. Return or rejection of the prize notification for any reason will cause the prize to be forfeited and awarded to an alternate winner (also randomly selected). If the Grand Prize Winner is not of the age of majority in the state of residence, the Winner must travel with parent or legal guardian and the parent or legal guardian must execute the appropriate Affidavit and releases as required by Sponsor and its agents. Limit one prize per person.

GENERAL: By entering the Sweepstakes each entrant agrees: (a) to these Official Rules and decisions of USA Network whose decisions shall be final and binding in all matters relating to this Sweepstakes; (b) USA Network, Nashville Star, Greg Hill Management, RCA Label Group and their respective parent or subsidiary companies, affiliated companies and all their respective officers, directors, employees, representatives and agents shall not be liable or responsible for any claim, injury or damage to person, including death, or property due in whole or in part from acceptance, possession, use or misuse of any prize, or participation in this Sweepstakes; and (c) by acceptance of prize, winners agree to allow use by Sponsor of his/her name, city, photograph or likeness for advertising and trade purposes without additional compensation and, upon request, will provide consent to such use in writing. All material submitted becomes the property of Sponsor and will not be returned. Entrants’ names may be used for future marketing purposes. USA Network, Nashville Star, Greg Hill Management, RCA Label Group and their respective parent or subsidiary companies, affiliated companies and all their respective officers, directors, employees, representatives and agents are not responsible for printing or typographical errors in any giveaway material or for any computer, software, Internet Web site or electronic defect, error or failure regardless of reason. If, for any reason, the Sweepstakes cannot be completed as planned due to unauthorized intervention, fraud, technical failure or other failures which in the sole opinion of the Sponsors corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsors reserves the right, in its sole discretion, to cancel, terminate, modify or suspend this Sweepstakes. In the event of cancellation, prizes will be awarded form among all, eligible, non-suspecting entries received prior to the event requiring cancellation. Notice of cancellation will be posted at www.usanetwork.com.

The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

CONSTRUCTION. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of any entrant, Released Parties shall be governed by and construed in accordance with the laws of the State of New York. In any action brought to enforce the obligation or right of any party hereunder they consent to personal jurisdiction and venue in any court of appropriate jurisdiction in New York County, New York The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.
