The In Plain Sight "Mobile Watch to Win" Sweepstakes (the "Sweepstakes") is sponsored by Universal Television Networks ("Sponsor"), 30 Rockefeller Plaza, New York, New York 10112.

1. ELIGIBILITY: Open only to legal, permanent United States ("U.S") residents who are physically residing in one (1) of the fifty (50) U.S. or the District of Columbia (excluding Puerto Rico, Guam, the U.S. Virgin Islands and all other U.S. territories) and who are eighteen (18) years of age or older and have reached the age of majority in their state of residence at time of entry. Entrants must have a valid U.S. Social Security Number or a valid U.S. personal tax identification number. Officers, directors, agents, and employees of Sponsor, and its respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and their immediate family members (parent, child, spouse, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible to participate in or win the Sweepstakes.

2. SWEEPSTAKES PERIOD/HOW TO ENTER: The Sweepstakes begins at 10:00 pm ET on May 1, 2011 and ends at 11:59 pm ET on August 13, 2011 (the "Sweepstakes Period"). All times in this Sweepstakes refer to Eastern Time ("ET"). The Sweepstakes consists of thirteen (13) weekly drawings (each a "Weekly Drawing") comprising the Sweepstakes Period, as specified in the chart below. Each Weekly Drawing will consist of: (i) a promotion period (each a "Weekly Entry Period") that will begin at 10:00 pm ET on Sunday and will end the following Saturday at 11:59 pm as detailed in the chart below and (ii) a random drawing conducted on the date specified in the chart below (the "Weekly Drawing Date") from among all eligible Entries (defined below) received during such Weekly Entry Period. Five (5) weekly winners will be selected in each of the thirteen (13) Weekly Drawings, for a total of sixty-five (65) winners throughout the entire Sweepstakes Period (each a "Weekly Winner"). Entries for each Weekly Drawing must be received by the end date specified in the chart below (the "Weekly Entry Period End Date") for that particular Weekly Drawing. Entries for the last Weekly Drawing (Weekly Drawing 13) must be received by 11:59 pm ET on August 13, 2011. Limit of one (1) Entry per person per Weekly Entry Period, regardless of method of entry (either mobile device or online), for a maximum of thirteen (13) Entries per person for the entire Sweepstakes Period. Entries from the same person in excess of one (1) for any Weekly Entry Period will be disqualified. Entries generated by script, macro or other automated means are void. Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply. All entries become the property of the Sponsor and will not be acknowledged. In the event of a dispute as to the identity of an entrant, the authorized account holder of the mobile device or email address used to enter, if applicable, will be deemed to be the entrant. "Authorized account holder" of a mobile device is the defined as the natural person in whose name the phone has been issued and to whom services are billed. "Authorized account holder" of an e-mail address is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Entry constitutes permission (except where prohibited by law) to use entrant's name, city, state, likeness, voice, biographical information and statements for purposes of advertising, promotion and publicity in any and all media, now or hereafter known, throughout the world in perpetuity without additional compensation, notification, permission or approval.

How To Enter by Mobile device: To enter this Sweepstakes by mobile device, you must have a text messaging capable mobile device from a participating carrier and be a member of the "In Plain Sight" Mobile Fan Club ("In Plain Sight Club"). You may subscribe to the In Plain Sight Fan Club by texting "IPS" to the short code USATXT (872898). Once registered for the In Plain Sight Club, one (1) weekly text message ("Weekly Text Message") containing a weekly question ("Weekly Question") will be sent to your mobile device. You can enter one (1) time for each Weekly Drawing by replying to the Weekly Text Message with your answer to the Weekly Question from the letter choices that will be presented with the Weekly Question ("Mobile Entry"). Once a Weekly Entry Period has begun, you may submit your Mobile Entry until the Weekly Entry Period End Date of such Weekly Entry Period, as listed in the chart below. In addition, the Weekly Question will also be posted on ips.usanetwork.com (the "Website"). You may unsubscribe to the In Plain Sight Club at any time by texting IEND to USATXT.

You do not have to answer the Weekly Question correctly to be entered into the Sweepstakes. Your answer to the Weekly Question will not affect your chances of winning this Sweepstakes. Please use caution and do not drive while entering the Sweepstakes. MESSAGE AND DATA RATES APPLY TO EACH TEXT MESSAGE SENT AND RECEIVED.

Free Method of Entry Online: To enter the Weekly Drawings for free without using a text messaging capable cell phone, visit the Website, click on the Sweepstakes banner or link, and complete the online registration form in its entirety, including the letter for your answer to the Weekly Question for the corresponding Weekly Entry Period, as well as your name, email address, telephone number, zip code, gender, and date of birth, and submit your entry ("Online Entry"). Once a Weekly Entry Period has begun, you may submit your Online Entry until the Weekly Entry Period End Date of such Weekly Entry Period. You do not have to answer the Weekly Question correctly to be entered into the Sweepstakes. Your answer to the Weekly Question will not affect your chances of winning this Sweepstakes.

Mobile Entry and Online Entry will be referred to herein as an entry ("Entry").

3. RANDOM DRAWING/WINNER NOTIFICATION: There will be five (5) Weekly Winners per Weekly Entry Period. There will be a total of sixty-five (65) Weekly Winners during the Sweepstakes Period. Weekly Winners will be selected in a random drawing on or about the Weekly Drawing Date for that particular Weekly Drawing from among all eligible Entries received during the corresponding Weekly Entry Period by employees or representatives of the Sponsor, whose decisions are final and binding with respect to all matters related to the Sweepstakes. Winning is subject to verification of eligibility. Sponsor will make two (2) attempts to notify each potential Weekly Winner at the phone number and/or email address submitted at the time of Entry. Potential Weekly Winners may be required to execute and return an Affidavit of Eligibility and Liability Release ("Affidavit and Release") and Publicity Release (where legal) within three (3) days of the date of attempted delivery. Noncompliance within this time period, with these Official Rules or the return of or inability to deliver any prize/prize notification may result in disqualification and, at Sponsor's discretion, and time permitting, an alternate potential Weekly Winner may be selected in a random drawing from among all remaining eligible Entries. Limit one (1) Prize (as defined below) per family or household.

4. PRIZE: Each Weekly Winner will receive one (1) "In Plain Sight Swag Bag" ("Prize") consisting of branded items as selected by Sponsor in its sole discretion. Five (5) Prizes per Weekly Drawing will be awarded for a total of sixty-five (65) Prizes throughout the entire Sweepstakes Period. Approximate Retail Value ("ARV") of each Prize is seventy-five dollars ($75). Total ARV for all Prizes is four thousand, eight hundred and seventy five dollars ($4,875). Weekly Winner is responsible for all federal, state and local taxes. No transfer, substitution or cash redemption will be awarded in lieu of stated Prize except by Sponsor who reserves the right to substitute a Prize (or portion thereof) of comparable or greater value, at its sole discretion. If Prize is unclaimed, it will be forfeited, and an alternate Weekly Winner may be selected from the remaining eligible Entries. Prizes will be awarded "as is" with no warranty or guarantee, either express or implied by Sponsor.

5. CONDITIONS: By entering the Sweepstakes, each entrant agrees for entrant and for entrant's heirs, executors, and administrators (a) to release and hold harmless Sweepstakes Entities and their respective officers, directors, and employees (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant's participation in the or Sweepstakes and/or his/her acceptance, possession, use, or misuse of Prize or any portion thereof (including any travel related thereto); (b) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by Prize supplier that are sent along with Prize; (c) if selected as a Winner, to the posting of such entrant's name on the Website and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Sweepstakes itself, and to be bound by all decisions of the Sponsor, which are binding and final. Failure to comply with these conditions may result in disqualification from the Sweepstakes at Sponsor's sole discretion.

6. ADDITIONAL TERMS: Sponsor reserves the right to permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Sweepstakes or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other "force majeure" event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants' or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with the Sweepstakes. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserve the right to select Winners in a random drawing from among all eligible, non-suspect Entries received prior to the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted on the Website. Sponsor may prohibit any entrant or potential entrant from participating in the Sweepstakes, if such entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, or Sponsor's agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Sponsor reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.

7. DISPUTES: THE SWEEPSTAKES IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS' FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

8. ANNOUNCEMENT OF WINNERS: For the names of the Weekly Winners, available after August 29, 2011, please send a self-addressed, postage paid envelope to In Plain Sight "Mobile Watch to Win" Sweepstakes, USA Network, 30 Rockefeller Plaza, 21st Floor, New York, NY 10112 by August 29, 2012.

9. PRIVACY: Entrants will have the opportunity to receive information from Sponsor, and/or selected partners by checking the appropriate box(es). If, at any time, you no longer wish to receive materials from Sponsor, please go to Sponsor's Privacy Policy, located at http://www.usanetwork.com/privacy/ and follow the procedures indicated. Information collected from entrants is subject to Sponsor's Privacy Policy.

PLEASE NOTE THAT A HIGH VOLUME OF ENTRIES, ONLINE OR BY SMS (TEXT MESSAGING), OR TECHNICAL DIFFICULTIES WITH THE SYSTEM, MAY RESULT IN TEMPORARY INABILITY TO ENTER THE SWEEPSTAKES OR A DELAY IN THE PROCESSING OF TEXT MESSAGES OR ONLINE ENTRIES SUCH THAT YOUR ENTRY IS NOT RECEIVED IN TIME TO PARTICIPATE.
