Official Rules
September 10, 2008- September 21, 2008


NO PURCHASE NECESSARY. Void where prohibited. Open only to legal residents of the US and DC who are 18 years of age or older as of the time of entry. Ghost Town Teeth Whitening Sweepstakes ("Sweepstakes") begins on September 10, 2008 at 6:00P.M. Eastern Time ("ET") and ends on September 21, 2008 at 11:59PM ET ("Sweepstakes Period"). All times in the Sweepstakes refer to Eastern Time. Odds of winning depend upon the number of eligible entries received.

SPONSORS: The Sweepstakes is sponsored by USA Network/Universal Television Networks ("USA Network"), 30 Rockefeller Plaza, New York, NY 10112 and Paramount Pictures Corporation ("Paramount"), 5555 Melrose Avenue, Hollywood, CA 90038 (collectively, "Sponsors").

ELIGIBILITY: Sweepstakes open only to permanent, legal residents of the fifty (50) United States and the District of Columbia who are of legal age of majority in the jurisdiction in which they reside (and at least eighteen (18) years of age) as of the time of entry. Void in Puerto Rico, Guam, overseas U.S. territories, possessions, commonwealths and military installations, and where prohibited or restricted by law. Officers, directors, agents and employees of Sponsors, NBC Universal, Inc. ("NBC Universal"), their respective parents, subsidiaries, affiliates and advertising and promotion agencies, and any other entity involved in the development or administration of this Sweepstakes, and members of their immediate families (spouses, parents, children, and siblings and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible to enter or win the Sweepstakes. All applicable federal, state, and local laws and regulations apply.

HOW TO ENTER: To enter the Sweepstakes, access the USA Network website at www.usanetwork.com ("Website") and click on the Sweepstakes icon. Complete and thereafter submit the entry form, which includes your name, address, telephone number, email address and date of birth. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. Sponsors are not responsible for lost, late, illegible, incomplete, inaccurate, or mutilated entries. If there is a dispute as to the identity of an online entrant, the prize will be awarded to the authorized account holder of the email address, provided he/she is eligible according to these Official Rules. The "authorized account holder" is defined as the natural person to whom the email address is assigned by an internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. All entries become the property of Sponsors and will not be acknowledged or returned. Entry constitutes permission (except where prohibited by law) to use entrant's name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity without additional compensation. ALL ENTRIES MUST BE RECEIVED BY 11:59 PM ET on SEPTEMBER 21, 2008 TO BE ELIGIBLE FOR THE SWEEPSTAKES. USA Network's computer clock will be the official time keeper for this Sweepstakes. Limit (1) entry per person or email address per day during the Sweepstakes Period. Entries from the same person or email address in excess of one (1) per day will be disqualified.

By entering this Sweepstakes you can opt-in to receive information and promotional materials from USA Network, other NBC Universal entities, and Paramount. If at any time, you do not wish to receive these materials in the future, please go to the USA Network's privacy policy, located at http://www.usanetwork.com/privacy/, the privacy policy of the NBC Universal entity that has sent such materials, and/or go to Paramount's privacy policy, located at http://www.paramount.com/paramount.php, and follow the procedures indicated.

RANDOM DRAWING AND NOTIFICATION: One (1) Grand Prize Winner ("Winner") will be selected in a random drawing from among all eligible entries on or about October 1, 2008 by employees or representatives of Sponsors, whose decisions are final and binding. Sponsors will make two (2) attempts to notify potential Winner at the phone number and/or email address submitted at the time of entry. Potential Winner (or such potential Winner's parent or legal guardian if potential Winner is a minor) may be required to execute and return an affidavit of eligibility, release of liability, and, except where prohibited, publicity release (collectively, "Sweepstakes Documents") within fourteen (14) days of such notification. Noncompliance within this time period will result in disqualification, and an alternate Winner may be selected from the remaining eligible entries. If potential Winner cannot be reached, if he/she is found to ineligible, if he/she cannot or does not comply with these Official Rules, or if his/her prize, prize notification or prize correspondence is returned as undeliverable, Winner will be disqualified and an alternate Winner may be selected from the remaining eligible entries. Odds of winning depend upon the total number of eligible entries received. Limit one (1) prize per family or household.

GRAND PRIZE: There will be one (1) grand prize awarded ("Grand Prize"), consisting of: Winner's choice of either one (1) coupon for a 60-minute teeth whitening appointment with BriteSmile(r) (www.britesmile.com), or a cash prize of $600 awarded in the form of a check. Estimated Retail Value ("ERV") of Grand Prize is $600.00. BriteSmile(r) coupons may be subject to restrictions. This promotion is not endorsed, sponsored or otherwise affiliated with BriteSmile, Inc. BriteSmile(r) is a registered trademark of BriteSmile, Inc.

All prize details are at the sole discretion of the Sponsors. Winner is solely responsible for all expenses and costs associated with acceptance and/or use of any prize not specifically stated herein as being awarded, including, without limitation, and all federal, state and local taxes. The value of the Grand Prize represents Sponsors' good faith determination of the maximum retail value thereof. For Form 1099 reporting purposes, Winner shall be bound by such good faith determination. Sponsors disclaim any and all liability for the actual provision, quality or nature of any product or service accepted by any winner. No transfer, substitution, assignment or cash redemption will be awarded in lieu of stated prize except by Sponsors who reserve the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion. In the event that any prize component is not available for any reason, then remaining elements of prize shall constitute full satisfaction of Sponsors' prize obligation to Winner and no additional compensation will be awarded. Winner must be able to claim Grand Prize between October 1, 2008 and December 31, 2008. If Winner cannot accept Grand Prize as stated, the Grand Prize will be forfeited, and at Sponsors' discretion, an alternate Winner may be selected. The Grand Prize is subject to all limitations and restrictions imposed by BriteSmile.

CONDITIONS: By entering the Sweepstakes, each entrant agrees for entrant and for entrant's heirs, executors, and administrators (a) to release and hold harmless USA Network, NBC Universal, and Paramount, their respective officers, directors, employees, parents, affiliates, subsidiaries, and advertising and promotion agencies, and any other entity involved in the development or administration of the Sweepstakes, and each of their respective directors, officers, employees and assigns (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant's participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of Grand Prize or any portion thereof; (b) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Grand Prize, including express warranties provided exclusively by Grand Prize supplier; (c) if selected as a Winner, to the posting of such entrant's name on www.usanetwork.com and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes without additional compensation, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Sweepstakes itself, and to be bound by all decisions of the Sponsors, which are binding and final. Failure to comply with these conditions may result in disqualification from the Sweepstakes.

ADDITIONAL TERMS: Sponsors reserve the right to permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Sweepstakes or the operation thereof is unlawful and subject to legal action by Sponsors, who may seek damages to the fullest extent permitted by law. The failure of Sponsors to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsors (excepting compliance with applicable codes and regulations), or other "force majeure" event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants' or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with the Sweepstakes. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Sponsors reserve the right to cancel, modify, or suspend the Sweepstakes or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsors reserve the right to select Winners in a random drawing from among all eligible, non-suspect entries received at the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted at www.usanetwork.com . Sponsors may prohibit any entrant or potential entrant from participating in the or Sweepstakes, if such entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsors, or Sponsors' agents or representatives; or behaves in any other disruptive manner (as determined by Sponsors in their sole discretion).

DISPUTES: THE SWEEPSTAKES IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

ENTRANT'S PERSONAL INFORMATION: Information collected from entrants is subject to the USA Network Privacy Policy (http://www.usanetwork.com/privacy/). By entering the Sweepstakes, each entrant grants USA Network permission to share his/her email address and any other personally identifiable information with Paramount solely for the purpose of prize fulfillment.
